Red flags are the warning signs that a matter may involve money laundering and should prompt a law firm to ask more questions, apply enhanced due diligence and consider a suspicious transaction report. Recognising them is central to the firm’s preventive obligations, because suspicion can arise regardless of the transaction value.

Common red flags include a client who is reluctant to provide identity or beneficial ownership information, unusual or unexplained wealth, use of complex or opaque structures with no commercial rationale, funds routed through multiple jurisdictions or third parties, transactions that do not fit the client’s profile, requests to hold or move client money without a genuine legal purpose, and a client insisting on unusual speed or secrecy. A single indicator is not proof of wrongdoing, but a combination should trigger escalation to the compliance officer. The firm should record how each flag was considered and resolved so its decision to report, or not to report, can be justified later.

The Executive Regulations require every regulated business to establish its own indicators for identifying suspicion of the crime, and to update them on an ongoing basis in line with the development and diversification of the methods used, in compliance with instructions from the supervisory authority.

For a law firm the indicators should be built around the activities that bring it into scope: real estate transactions, managing client funds, managing accounts, organising contributions for company formation, and establishing or transferring legal persons and arrangements. The framework itself points to what to watch. A structure that prevents identification of the beneficial owner engages the prohibition on proceeding where due diligence cannot be completed. A client from a high-risk country triggers enhanced measures. A transaction inconsistent with what the firm knows of the client engages the monitoring duty in Article 8. And funds whose source cannot be corroborated go to the heart of the reporting obligation.

_Where the position is finely balanced, document your reasoning and raise it with your compliance officer._
